The BottleRoom 3 staff work very hard to make it as easy as possible for you, the stores and suppliers. We don't want you spending your valuable time collecting receipts, scanning items, etc. We want you to enjoy great beverages and save money.

But sometimes there are hiccups or unforseen circumstances that we haven't yet accounted for.

We're hear to help.  Here are some of the common questions/issues we have been asked:

A. Why do I need to be at the store to see what deals there are?

There's a variety of reasons based on the behavioral science of rebates, but a primary one is to make it as easy for you as possible. No need to save coupons, remember to bring them, etc.

Another reason is the fun aspect of the app. When you enter the store, you click to see what deals you've won for the visit. And depending on your mood that moment, you may have a taste for something different than if you were sitting on your couch at home.

B. Problem registering?

To keep our costs down, we try to filter out the scammers/spiders/shenanigans and only enable actualy people to register. One of the things we check is your domain name and require a 3 character domain name in your email.

If you have a 2 character domain name (eg, it will error out.  This problem is on our list of things to improve in the app, but in the mean time, here's what to do:

C. Turning on Location

Yes, we need your location turned on so we know which store you're at and what deals we can offer you. Without location turned on, we can't offer any deals. Here's how to do it.


  1. Click Settings, then Privacy
  2. At the top of the list should be Location Services, click that.
  3. On the Location services page click the slider to turn it on.

You're all set.  But if you want to get more specific, go to the Settings main page, scroll down to BottleRoom 3 and click it. There you can set when you'd like your location to be available to the app.

BottleRoom 3™ Supplier & Retailer Terms of Service

Terms of Use (“Terms”)

This agreement (“Agreement”) is made by and between Grocer Green, Inc., doing business as BottleRoom 3 (“BottleRoom 3” or “we”), and suppliers which includes producers, importers, wholesalers, distributors, etc.  (“Supplier”) (each a “Party” or jointly, “Parties”) for the use of BottleRoom 3’s instant rebate, mobile application, related services, and all associated content, including any features, graphics, text, images, photos, audio, video, and computer code (collectively and including content, “Services.”)  This Agreement is executed by registering on the site and checking that you accept.

This agreement is between BottleRoom 3 and a Supplier

This single agreement describes the terms for both retailers and suppliers for complete transparency.

I. Description of the Services

BottleRoom 3 reaches out to Consumers through its website and App, providing those Consumers with information on special deals (instant rebates) in participating stores.  When a Consumer enters the store, the App will provide the Consumer with Deals to use in that retail location -  comprised of Deals from Suppliers and the Retailer. 

In the case of a Supplier, the Supplier makes these instant rebates directly to the consumer when they are within a retail liquor store (via the BottleRoom 3 app). These rebates provide the consumer with a financial benefit to purchase their product. Because these rebates are provided directly to the consumer, they are in no way providing a financial benefit to the retail store or to influence any decisions made by the store.

Also in the case of a Supplier, after instant rebates are redeemed by Consumers, BottleRoom 3 performs the necessary validation using data on when the instant rebate was offered and point-of-sale (POS) data on sales transactions (as a third party independent of the Supplier and Store). For valid instant rebate redemptions, BottleRoom 3 reimburses the Store from the Suppliers budget.

In the case of a Retailer, the Retailer can offer discounts directly to the consumer when they are in the retail liquor store (via the BottleRoom 3 app). The transaction is the same as any product discounted by the store. The rebates provide the consumer with a financial benefit to purchasing the product within the store.

II. Definitions 

“App” or “Application”: BottleRoom 3’s mobile application, which allows Consumers to access Deals.

“Campaign”: A deal that will be offered to consumers that is specified by the Supplier or Retailer. The deal defines the product offered, the instant rebate amount, descriptions, subscribing store locations and effective period.

“Campaign Budget”: Total budget amount to cover all costs associated with a deal (excluding any setup or subscription fees). The Campaign Budget is made up of:

  • “Bid”: the fee charged when a deal is recommended to a consumer – the amount of the fee is defined by the selected plan.
  • “Rebate Amount”: the instant rebated provided to the consumer and to be reimbursed to the Retailer after the transaction is validated.
  • “Reimbursement Fee”: fee to process reimbursement transactions. This is currently set at 15¢ ($0.15) per transaction and only applies to validated transactions where a reimbursement is made to the Retailer.

“Consumer”: A liquor store shopper who uses the app.

“Deals”: All discounts from the manufacturers and retailers.

“Line items”: a single line on a receipt or in documented point-of-sale data.

“Loyalty Program”: An optional feature that streamlines the Retailer’s process to provide information for reimbursements and incentivizes further purchases by Consumers through loyalty offers based upon purchase amounts and frequency.

“Point-of-sale” or “POS” data: data collected automatically as a consumer’s purchases are put through checkout.  The information gathered includes: what products the consumer buys, at what prices they were bought, and when and where the transaction took place.

“Receipts”: a printout (or electronic record) of items that a consumer buys.

“Receipt line items”: a transaction record of a particular item(s) on a receipt.

“Redemption”: The act of a Consumer using a deal at the register of the liquor store and the checkout clerk at that store discounting the purchase.

“Reimbursement”: BottleRoom 3’s payment of Product Representative’s Deals after the Store has provided necessary documentation to validate the purchase.

“Retailer”: A person or business (for our purpose, a store) that sells beer, wine, or spirits to the Consumer for use or consumption.

“Suppliers”: All manufacturers (whether distiller, brewer, etc.), importers, wholesalers, and distributors (other than the Store).

“Transactions”: Purchase or liquor, wine, or beer from a store and the use of a Deal discount for that purchase.

“Transaction line items”: Each individual transaction on a receipt.

III. Obligations of Parties

A. Responsibilities of BottleRoom 3

Under this Agreement, BottleRoom 3 will:

Maintain the App, available to Consumers and both Suppliers and Retailers, to provide Consumers Deals and allow both Suppliers and Retailers to disseminate their own Deals.

Maintain a website, including a portal for access by the Supplier, to allow Suppliers and Retailers to offer Retailer and Supplier-specific Deals.

Within 15 days of receiving valid purchase data (when downloading POS data) reimburse the Retailer for Supplier Deals in accordance with the Supplier’s reimbursement procedures. Every effort will be made to make reimbursements when paper receipts are provided, but they may be delayed to within 30 days.

B. Responsibilities of the Supplier

Under this Agreement, the Supplier will:

Pay initial setup fee as defined by the selected plan. This fee would be in addition to any recurring fee.

Pay the monthly (or yearly) subscription fee for the Service as defined by the selected plan. The fee is due in one payment upon execution of this Agreement and in each subsequent month (or year) on or before day this Agreement is executed.  Any pricing changes are available through the website and would apply to the new subscription period.

Promote the Services, including encouraging Consumers to download and use the App, through signage, handouts, and other marketing materials provided by BottleRoom 3.

Define enough information in the offered deal to uniquely identify the product. This information needs to be clear enough for the Retail clerk to properly apply the instant rebate. If offer cannot uniquely identify a single product, reimbursements will be made to all products that do apply.

Reimbursements to the Retailer will be deducted from campaign budget at regular intervals (e.g. monthly) and paid to the Retailer.

BottleRoom 3 will make best effort to stay within the campaign budget by pausing deals offered to Consumers if the campaign budget might be exhausted with redemptions. However, a deal with a high redemption rate may go over the campaign budget. In this situation, the Supplier is responsible for reimbursements and fees that apply.

All unused campaign funds will be refunded after all potential reimbursements are processed and reimbursements and fees are paid.

C. Responsibilities of the Retailer

Under this Agreement, the Retailer will:

Pay initial setup fee as defined by the selected plan. This fee would be in addition to any recurring fee.

Pay the monthly (or yearly) fee for the Service as defined by the selected plan. The fee is due in one payment upon execution of this Agreement and in each subsequent month (or year) on or before day this Agreement is executed.  Any pricing changes are available through the website and would apply to the new subscription period.

Promote the Services, including encouraging Consumers to download and use the App, through signage, handouts, and other marketing materials provided by BottleRoom 3.

Establish all necessary point of sale system configurations with standard discount amounts (e.g., $5 off, $10 off, 5% off, etc.) as provided by BottleRoom 3. Discount amounts will need to be updated at regular intervals, such as monthly.

Follow all documentation requirements of BottleRoom 3 concerning Redemptions, as follows:

The Retailer’s checkout clerk will review the Deal displayed on the Consumer’s mobile device to confirm there is a qualifying purchase.

The clerk will then either (a) scan or manually enter the bar code of the Deal from the Consumer’s mobile device or (b) use the Consumer’s mobile device to mark the Deals the Consumer qualifies to redeem and enter a passcode in the App, provided by BottleRoom 3, to authorize the Deal.

If the Retailer opts into the Loyalty Program, the clerk will scan the loyalty bar code from the top of the Consumer’s shopping cart in the App. If the Retailer opts into the Loyalty Program or provides point of sale data, the Retailer provides the sale information necessary for Reimbursements through the above Redemption process.

Reimbursements will be based on POS data made available by the Retailer and require the appropriate discount (using the defined SKU) and product purchase in the same transaction. Reimbursements must match to a valid deal offered for the product and amount in the transaction. Deviations will not reconcile the transaction and no reimbursement would apply.

If the Retailer does not wish to be part of the Loyalty Program and does not provide point of sale data, the Retailer will promptly provide receipts of all transactions in which Deals were used, either in paper or as scans provided to BottleRoom 3 through the website portal, within two weeks. These receipts must be date/time stamped and have an itemized list of the entire transaction.

C. Relationship between the Parties

The Parties here are separate entities and operate as independent contractors. This Agreement does not create an employment relationship, joint venture, partnership, or any agency relationship. Neither Party has authority to bind the other to any agreement outside of actions permitted in this Agreement.

IV. Privacy and Consumer Information

A. Purpose and Protection of Personal Information 

Your success is dependent upon maintaining your Consumers and attracting new ones. BottleRoom 3 understands this and respects the privacy of your business and your Consumers.

When a Consumer approaches or enters a participating Retailer, he or she will receive several Deals.  These Deals will consist of Supplier Deals and Retailer Deals.  The Deals will be determined by a BottleRoom 3 proprietary algorithm designed to maximize the Consumer’s purchases, based upon: Deals available to all Consumers, aimed at selling specific product; Deals aimed at expanding the products a Consumer purchases; Deals aimed at maintaining purchase habits of a Consumer; Deals that reward a Consumer for the amount of their purchases or the number of times the Consumer visits the Retailer (through data collected from the Loyalty Program); and day-of-the-week Deals.

To allow this customization and the processing of reimbursements, BottleRoom 3 must collect and retain certain information from participating Retailers concerning your Consumers, including Deals redeemed, the time and date of the redemption, the items purchased, and the identity of the App user.

BottleRoom 3 takes the privacy of this information very seriously.  We do not provide your individualized Consumer information to other Suppliers.  A Consumer who uses the App for multiple liquor stores will have all his or her purchase information consolidated to determine the appropriate items for Deals for that Consumer. This process does not involve any other Supplier having direct access to your individualized Consumer information.

B. Use of Non-Personally Identifiable Information

Non-personally identifiable information is information that does not specifically identify your business or your Consumers. BottleRoom 3 may collect such information, such as information concerning access of the Services, including the computer/mobile device and web-browsing software used. This information assists us in providing the Services.

BottleRoom 3 may also aggregate Consumer information—removing personally-identifiable information—to analyze spending habits and other data to improve the Services. BottleRoom 3 reserves the right to share that information with its business parties or other third parties to better understand purchasing trends and use of the App.

C. Disclosure to Protect Rights

BottleRoom 3 reserves the right to disclose your business information to protect its rights, or comply with state or federal laws, judicial proceedings, or a court order. It also reserves the right to share information to investigate, prevent, or take action regarding suspected illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of this Agreement, or as otherwise required by law.

D. No Unsolicited Personal Information Requests

BottleRoom 3 will never ask you for your buisness information in an unsolicited letter, call, or e-mail. If you contact our customer service, it will only use your business information if necessary to fulfill a request by you.

E. Cookies and Locally Stored Data

Cookies are small text files that a website writes onto a computer or smartphone. BottleRoom 3 uses these to allow faster and easier access to business account information, monitor traffic on the site, and measure traffic patterns to improve functionality.

F. Security

The security of our Services is important to us and BottleRoom 3 uses reasonable efforts to secure any information you provide to our systems. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, we do not and cannot guarantee your security. As with disclosure of any information electronically, there is a risk that any information you disclose by use of the Services could be collected or used by others. This could result in unsolicited messages from third parties or use of such information by third parties for their own purposes, legal or illegal.

G. Waiver of Liability

BottleRoom 3 is committed to protecting your privacy and, when involving third parties, we limit our interactions to third parties which we have confidence will not misuse your information.  However, we cannot guarantee certainty over wire communications that are, by their nature, are not certain. You agree that we are not responsible for any misuse of information by other individuals or entities, whether such misuse is through negligence, intentional misconduct, or any action or inaction by another.

V. Use of the Services and Intellectual Property

A. Limited Use of Services

The Services are only for the uses specified in this Agreement. You may not use the Services in connection with any commercial endeavors outside of this Agreement. BottleRoom 3 reserves the right to investigate and take legal action in response to illegal and/or unauthorized uses of the Services, including illegal use of the Services and unauthorized access of or linking to the Services.

B. No Infringement

You agree BottleRoom 3’s Services contain proprietary information and material that is owned by BottleRoom 3 and is protected by applicable intellectual property and other laws, including but not limited to trademark, copyright, patent, and trade secret laws. BottleRoom 3’s ownership extends to all content, features, and functionality on the website, through the app, and in all other communications, that is protected or protectable under the law. You agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Services in compliance with this Agreement. No portion of the Services may be reproduced in any form or by any means, except as expressly permitted in this Agreement or otherwise in writing by an authorized agent of BottleRoom 3. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services in any manner, and you shall not exploit the Services in any unauthorized way. In no way should your use of the Services be construed to diminish BottleRoom 3’s intellectual property rights or be construed as providing you a license or the ability to use the Services in any context other than as expressly permitted under this Agreement.

C. Prohibited Activities

Suppliers shall not engage in the following activities:

  1. Use the Services for any unlawful activities or in violation of any laws, regulations, contractual provisions, or;
  2. Use the Services to promote violence, degradation, subjugation, discrimination or hatred against individuals or groups based on race, ethnic origin, religion, disability, gender, age, veteran status, sexual orientation, or gender identity;
  3. Access a Consumer’s or another Supplier or Retailer’s account without permission;
  4. Publish or allow to be published malicious code intended to damage any mobile device, browser, computer, server, or network hardware;
  5. Spam any comments section with offers of goods and services, or inappropriate messages;
  6. Use manual or automated software, devices, or other processes to “crawl,” “scrape,” or “spider” any portion of the Services;
  7. Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services; or
  8. Solicit passwords or personal identifying information for commercial or unlawful purposes from other Retailers, Suppliers, or Consumers, or disseminate another person’s personal information without his or her permission.

VI. Notices and Disclaimers

A. Reimbursement Process

BottleRoom 3 validates Redemptions and issues Reimbursements by matching the date/time and location the App provided the Consumer the Deal, the date/time and location the Consumer selected her or she intended to use the Deal; the corresponding point of sale data or receipt; the specifics of the Deal (including the item identified and the period the Deal is valid); the item purchased; and the discount code used (determining the amount of the discount). BottleRoom 3 will utilize best efforts to work with you to issue Reimbursements.  However, BottleRoom 3 is under no obligation to issue Reimbursements where the Retailer does not provide full, accurate, or corresponding information concerning a discounted sale.

B. Notice and Disclaimers

BottleRoom 3 operates for the limited purpose of assisting in the promotion of your products through Retailer and Supplier Deals, and by streamlining the processing of Supplier Reimbursements. It does not provide any guarantees beyond what is provided in this Agreement. In particular, when using the BottleRoom 3’s Services, you acknowledge and accept the following:

  1. BottleRoom 3 does not investigate, confirm, or endorse any Supplier Deals. If a Supplier rejects or otherwise refuses to reimburse a Deal for any reason, BottleRoom 3 is not responsible for and will not pay that reimbursement to the Retailer. Furthermore, although BottleRoom 3 will assist the Retailer to resubmit the request if additional information is required, BottleRoom 3 is not responsible for: disputing a Supplier’s refusal to issue reimbursement, or taking formal (including legal) or informal action against a Supplier as a result.
  2. BottleRoom 3 will utilize best efforts to promptly correct any technical or customer service issues with your account, the website, and the App. BottleRoom 3 does not, and cannot, make any further or specific guarantees or representations in that regard.
  3. BottleRoom 3 is not responsible for any damages, including lost profits, stemming from interruption or delay of the Services.
  4. BottleRoom 3 does not confirm the age of those who use the App. The Retailer remains solely liable for confirming Consumers are legally permitted to purchase alcohol.
  5. The Retailer is solely responsible for any tax consequences or legal restrictions or obligations that pertain to or arise from use of the Services.


A. Right to Terminate

Either Party may terminate the Services at any time for any reason.  The Party terminating the Services will provide the other Party a notice of termination in writing.  Yearly fees for the Services will not be refunded.

B. Perpetual Subscription

This Agreement is perpetual, unless the Supplier decides otherwise.  You may cancel your subscription at any time.  Your subscription will automatically be cancelled if your payment method is no longer valid.

C. Liability for Misuse or Breach of Agreement

If the Supplier misuses the Services or breaches the terms of this Agreement—including misuse or misappropriation of intellectual property, illegal or prohibited use of the Services, or failure to pay for the Services—the Supplier agrees to indemnify BottleRoom 3 for any expenses, costs, or other fees (including attorney and collection fees) incurred to recover damages or enforce rights against the Supplier, and agrees to indemnify and defend BottleRoom 3 for any expenses, costs, or other fees (including attorney and collection fees) incurred pursing or defending against claims relating to a third party.

D. No Right to Services

The Supplier neither possesses nor retains any ownership of or rights to the Services or any content generated by the BottleRoom 3 or the Supplier through BottleRoom 3’s Services.  Upon termination, the Supplier has no right to access or have any information returned.

E. Survival

Sections IV-VIII of this Agreement survive after termination.

VII. General Provisions

A. Successors and Assignees

A Party may assign this Agreement to an affiliate or in connection with a merger or sale of all or substantially all of the Party’s ownership or assets. Upon such an assignment, all assignees and successors are bound by the terms of this agreement, including all waivers and obligations herein.

B. Arbitration

The exclusive means of resolving any dispute or claim arising out of or relating to this Agreement (including any alleged breach thereof) or the Service shall be binding arbitration administered by the American Arbitration Association. Suppliers or Retailers may not under any circumstances commence or maintain against BottleRoom 3 any class action, class arbitration, or other representative action or proceeding.  Parties understand and accept that, by agreeing to arbitration, the Parties are foregoing their access to a trial by jury.

C. Governing Law and Venue

This Agreement will be governed by and construed in accordance with the laws of the State of Colorado. The venue for any disputes including mediation, arbitration, or litigation shall be Denver, Colorado. Each Party agrees to waive the following defenses to any action brought in Colorado: forum non conveniens and lack of personal jurisdiction. 

D. Waiver

If one Party waives any term or provision of this Agreement at any time, that waiver will only be effective for the specific instance and specific purpose for which the waiver was given. If either Party fails to exercise or delays exercising any of its rights or remedies under this Agreement, that Party retains the right to enforce that term or provision at a later time.

E. Severability

If any provision of this Agreement is invalid or unenforceable, whether by the decision of an arbitrator or court, by passage of a new law, or otherwise, the remainder of this Agreement will remain in effort.  The Parties agree this Agreement and that provision, where possible, will be construed and enforced to the extent possible and consistent with the purpose of this Agreement.

F. Modifications

The Parties agree to be bound by this Agreement by their signatures below.  From time to time, BottleRoom 3 may update or modify the terms of this Agreement.  Notification of modifications may be provided via mail, email, or on the website, at BottleRoom 3’s sole discretion. The Supplier’s continued use of the Services constitutes acceptance of the new terms.

G. Understanding of Agreement

Parties acknowledge they understand the terms and conditions of this Agreement. Parties also acknowledge that they could discuss these provisions with a lawyer at their own expense prior to entering into this Agreement, and have either done so or chosen not to do so in entering this Agreement.  Regardless of that choice, Parties intend to be fully bound by this Agreement.

H. Entire Agreement

This Agreement constitutes the entire agreement between the Parties, and supersedes all prior agreements, representations, and understandings, oral or written, between the Parties.

By clicking “I Agree” the Parties are bound by the terms of this Agreement.

Our short story - in Colorado, you can offer consumers instant rebates.  Using the BottleRoom 3 app service, your instant rebates are delivered directly to consumers, and we (as a 3rd party) validate and perform the reimbursement process to the store.

You can find the latest version of the Colorado Liquor Code on their site at: We are not lawyers and cannot offer legal advice (as our lawyers remind me), but here are what we see are the key points to keep in mind and the sections for the liquor code that applies.

First off, while we call them BottleRoom 3 “deals,” the code refers to them as coupons, so I’ll use that term in this discussion.

This service is enabling “A supplier’s ‘instant redeemable coupon’…” – perfectly legal. Here are a few points to keep in mind:

  • You are providing the coupon directly to consumers (via the BottleRoom 3 app) and not to the liquor store – this is a critical point. It just happens the consumer will be at the store when they receive and use the coupon (which is by far the most effective time & place to deliver it)
  • For a consumer to instantly redeem a coupon, they need to do so at time of purchase and have the deal available on their phone. The deal is only valid for 1 hour of receiving it (ie on that visit), so they can’t print/copy or anything else in order to use it later.
  • We, as a 3rd party, will validate that for each redemption, a consumer was offered (& selected) the deal and purchased the specific product offered by the deal. We’ll use the data we have through our service and data downloaded from the POS to do this process.
  • You as a supplier are not giving the store any money for this service. You are giving the consumer the instant rebate – although the store is in the middle of the transaction.

Another question that comes up is “Am I a supplier?”  Basically if your products are sold off-premise and you’re not the store, then you are a supplier.  This is defined in 47-100, Definitions (pp2-3). To oversimplify it a bit, if you’re a distributor, then you’re a “wholesaler” but also a “supplier.”  Here’s the two definitions from the code:

  • F: “Supplier”means a Colorado licensed brewery, winery, distillery, brew pub, distillery pub, vintner’s restaurant, limited winery, nonresident manufacturer, wholesaler or importer of alcohol beverages.
  • I: “Wholesaler”means those entities authorized to sell alcohol beverages at wholesale to licensed retailers, including wholesalers of fermented malt beverages, malt liquors, vinous and spirituous liquors, limited wineries, brew pubs, distillery pubs, and vintner's restaurants.


I’m not lawyer and can’t offer legal advice (which my lawyers remind me), but you’ll see this is all A-OK because you’re providing the coupons directly to consumers and a 3rd party is validating & servicing reimbursements.
